DCCI Organization Overview
The Board of Directors is establish as the legal governing body over this agency, owned, operated and under the management of the DCCI. The Board of Directors has the legal authority and total responsibility for the management, services, and operations of DCCI and its programs to protect the health, safety, and welfare of clients.
ORGANIZATION: DCCI charter number 800175904 is a corporation under the laws of the State of Texas establishes to provide management, operations and consulting services to private and public entities. DCCI's Board of Directors is responsible for:
* ensuring that the agency operated by the corporation comply with all applicable laws, regulations, and DSHS rules
* ensuring that the agency operate in a professional and ethical manner
* review of agency operations and services and the undertaking of appropriate action (s) as needed to correct any identified deficiencies and to ensure that problems are effectively resolved
* participation in the summarization of the licensure review process
* knowledge of all operating facility licensure status and for ensuring that problems are effectively resolved
* designation of appropriate staff (e.g.., CEO, Program Director) to manage the operations of the corporation and its agency’s operations.
RESPONSIBILITY
CEO
DCCI’s Board of Directors hereby approves the CEO of the corporation as its designee empowered with the authority and responsibility to manage the day-to-day affairs of the corporation. The CEO in his/her absence may designate another corporate staff member to conduct the affairs of the corporation for a period not to exceed 15 working days. Should the CEO be unable to conduct the affairs of the corporation for a period to exceed 15 working days, the Board of Directors will designate a corporate staff member as the Interim CEO until such time as the CEO can resume his / her duties.
The CEO shall have the following authority:
* to select, designate, appoint and approve the hiring of all corporation staff. All designations of Program
Coordinators shall be submitted to the Board of Directors for final approval.
* to terminate at will any corporation staff; All terminations of Program Coordinators will be submitted to the
Board of Directors for final approval;
* to issue policy, procedures, rules, regulations, and guidelines for the effective operations of the
corporation and all of its contracts;
* to oversee and manage the day to day operations of the corporation, including fiscal management
and policies
*maintain adequate financial records according to generally accepted accounting principles. Financial records shall include;
( a ) an annual budget
( b ) records of income and expenditures; and
( c ) a written fee policy
PROCEDURES:
( A ) The facility governing body is legally responsible for the management, services, and operations of the program. The governing body shall:
( 1 ) have legal authority to operate in the state of Texas
( 2 ) designate a facility director
( 3 ) develop and maintain an organizational chart
( 4 ) establish codes of conduct
( 5 ) approve the program description and policies
( 6 ) set up and maintain effective systems for planning, budgeting, and managing all resources
( 7 ) review and approve an annual budget
( 8 ) ensure compliance with all applicable laws, rules, and commission requirements
( 9 ) ensure professional and ethical operations
(10) review operations and services and take appropriate action as needed; and
(11) know the facility’s licensure status and ensure that problems are resolved. A member of the governing authority shall participate in the licensure review summary.
(B) The governing body shall hold meetings at least quarterly and keep minutes that include;
( 1 ) date and time
( 2 ) place
( 3 ) participants
( 4 ) quarterly review of financial statements
( 5 ) summary of discussions; and
( 6 ) actions taken.
